Our founder, Dr. Sara L. Terheggen (“Dr. T”) is a leading business advisor specializing in private equity and venture capital fund formation and securities transactions. To date, she has advised on transactions with an aggregate value of more than $120 billion.
Her expertise in securities transactions includes advising companies and investment banks in connection with public and private offerings of equity and debt, and initial public offerings, as well as acquisitions, strategic investments and joint ventures. She has advised on over 20 initial public offerings. Her experience includes counseling public companies of all sizes and board of directors on exchange act reporting, corporate governance and other strategic and commercial matters.
Her fund formation expertise focuses primarily on representing sponsors in the structuring, formation and offering of private funds, including private equity, venture capital, impact and special purpose. In addition, she advises her fund clients in connection with portfolio company investments.
Dr. T's experience includes serving as an outside general counsel and chief operating officer for certain of her clients. She sits on several boards and is a frequent speaker and writer on topics such as innovation, fund formation, capital markets and leadership. Sara contributes significant time in the community to improve the advancement of women and access to healthcare for underserved populations.
Prior to founding The NBD Group, Inc., Dr. T was an equity partner at Morrison Foerster, and prior to that, worked at Skadden, Arps, Slate, Meagher & Flom LLP and Simpson Thacher & Bartlett LLP.
